Xila Ltd — AI Services Terms

These AI Services Terms ("AI Terms") supplement the Terms of Service (B01) and apply when you access or use AI Services on the Platform, including generative AI, recommendations, automation, summarisation, drafting assistance and Agentic Actions.

1. What are AI Services
1.1 AI Services are features that use artificial intelligence, machine learning or similar technologies to generate, transform, rank, summarise or act on Content, including:
(a) chat and assistant interfaces;
(b) drafting or editing posts, messages, Listings, job descriptions or event copy;
(c) recommendations and search ranking;
(d) recruitment matching and screening aids;
(e) productivity and planning suggestions;
(f) Agentic Actions performed on your instruction or authorisation.
1.2 AI Services may be integrated across Marketplace, Rental, Recruitment, Communications, Events and other features. Feature-specific terms also apply where relevant.
1.3 Capitalised terms have the meanings given in the Terms of Service unless defined here.
2. Assistive technology — not professional advice
2.1 Xila AI is assistive. It is designed to help you work faster and explore options. It is not a substitute for professional judgment, human review or independent expert advice.
2.2 No regulated advice. Xila AI does not provide regulated legal, medical, clinical, mental health, financial, tax, investment, immigration or other professional advice. Outputs are general information only and may be wrong, incomplete or outdated.
2.3 You must not present AI outputs as professional advice to third parties unless you are appropriately qualified and have independently verified the content.
2.4 For high-stakes decisions (including hiring, tenancy, payments, safety, health or legal rights), you must obtain qualified human advice and not rely solely on AI.
3. Accuracy, bias and limitations
3.1 AI outputs may be inaccurate, biased, offensive, fabricated ("hallucinated") or unsuitable for your purpose. Models may reflect limitations in training data and prompts.
3.2 You are responsible for reviewing outputs before use, publication, sending to third parties, or making decisions based on them.
3.3 We do not guarantee uniqueness, originality, non-infringement or commercial suitability of AI outputs. Similar outputs may be generated for other users.
3.4 AI may not reflect the most recent law, market conditions or factual developments unless expressly connected to current data sources you verify.
4. Your instructions and Agentic Actions
4.1 Agentic Actions are actions the Platform performs on your behalf when you enable or confirm them — for example, posting Content, sending messages, updating settings, creating calendar entries, modifying Listings or interacting with connected services.
4.2 Before enabling Agentic Actions, you should understand what the AI is authorised to do, which Accounts or workspaces are affected, and how to revoke authorisation.
4.3 You remain responsible for instructions you give, permissions you grant, and the consequences of authorised actions, except to the extent liability cannot be excluded by law.
4.4 You must promptly review Agentic Action results and undo or correct mistakes where the Platform provides controls.
4.5 Do not grant Agentic Action permissions if you do not trust the configuration or if human review is required by law or your internal policies.
5. Acceptable use of AI
5.1 You must use AI Services lawfully and in accordance with the Acceptable Use Policy (C03) and Community Standards (C04).
5.2 You must not use AI to:
(a) generate Illegal Content or facilitate unlawful activity;
(b) harass, threaten, defraud or impersonate others;
(c) create or spread malware, phishing or spam;
(d) unlawfully discriminate or screen people in breach of equality law;
(e) generate sexual content involving minors or exploitation material;
(f) circumvent security, moderation or access controls;
(g) mislead others about whether content is human-generated where disclosure is required;
(h) infringe intellectual property, privacy or confidentiality rights.
5.3 Employers and Recruiters must apply human oversight to recruitment uses as described in the Recruitment Terms (B07).
6. Transparency and labelling
6.1 We may provide notices when you are interacting with AI, and may label AI-generated or AI-edited Content in certain contexts.
6.2 You should not remove or obscure AI labels where the Platform applies them, unless editing tools expressly permit it and law allows.
6.3 If you publish AI-assisted Content to other Users, you should not misrepresent it as solely human-authored where that would be materially misleading in context.
7. Personal data and prompts
7.1 Your use of AI Services involves processing of personal data as described in the Privacy Policy (C01), including prompts, outputs, logs and related metadata.
7.2 Do not input special category data, children's data, third-party confidential information or credentials into AI features unless necessary, lawful and permitted by feature design.
7.3 If you upload personal data about others, you must have a lawful basis and provide appropriate notices.
7.4 Training use. Unless we clearly state otherwise in the Privacy Policy or a specific product notice, you should not assume your prompts or Content are used to train public foundation models. Enterprise or product-specific settings may apply where offered.
8. Third-party AI providers
8.1 Xila may use third-party model providers and subprocessors to deliver AI Services. Their technical limitations, safety filters and terms may affect availability and output.
8.2 We may change models or providers to improve safety, performance, cost or compliance.
8.3 Xila is not responsible for third-party services except to the extent required by law.
9. Intellectual property
9.1 You retain ownership of Your Content, including prompts and uploads, subject to the Terms of Service and third-party rights.
9.2 Ownership and use rights in AI outputs may be uncertain under applicable law and third-party model terms. To the extent permitted, Xila grants you a licence to use outputs you lawfully generate through AI Services for your Platform purposes, subject to these AI Terms and third-party restrictions.
9.3 You must not use outputs in ways that infringe others' rights. You are responsible for clearance before commercial exploitation outside the Platform.
9.4 Xila Platform IP in AI interfaces, workflows and fine-tuned components remains owned by Xila or its licensors.
10. Automated decision-making
10.1 Xila does not intend AI Services to make solely automated decisions that produce legal or similarly significant effects about you without meaningful human involvement, except where described in the Privacy Policy and permitted by law.
10.2 Recruitment ranking, moderation signals and recommendations are assistive. Human review requirements for employers are set out in the Recruitment Terms (B07).
10.3 You may have rights relating to automated processing under data protection law — see the Privacy Policy (C01).
11. Safety, moderation and reporting
11.1 We may apply safety filters, rate limits, logging and human review to reduce harmful or unlawful AI use.
11.2 AI-generated Content that violates policies may be removed or restricted under the Content Moderation and Appeals Policy (C06).
11.3 Report Illegal Content or safety concerns under the Online Safety and Content Reporting Policy (C05).
12. Availability and changes
12.1 AI Services may be unavailable, limited by region, Account type, subscription or fair use controls.
12.2 We may modify, suspend or discontinue AI features to manage risk, cost, provider changes or legal requirements.
12.3 Beta or preview AI features may be less reliable and may be withdrawn with limited notice.
13. Liability
13.1 AI Services are provided "as is" and "as available" to the fullest extent permitted by law.
13.2 Xila's liability in connection with AI Services is governed by the Terms of Service. We are not liable for decisions you make or actions you authorise based on AI outputs, except to the extent liability cannot be excluded by law.
13.3 Business Users remain responsible for ensuring AI use in their organisation complies with law and internal governance.
14. Enterprise and API use
14.1 If you use AI Services under a separate enterprise agreement or API terms, that agreement prevails for the scope it covers.
14.2 Additional data processing, model use restrictions or human-review commitments may apply to business customers where contractually agreed.
15. Changes and contact
15.1 We may update these AI Terms in accordance with the Terms of Service.
