These Business Account Terms supplement the Terms of Service (B01) and apply when you create or use a Business Account on Xila.


1. Scope

1.1 A Business Account is an Account used primarily for business, trade, professional or organisational purposes, including company pages, team workspaces, seller accounts, employer accounts and similar.

1.2 If you are a Consumer using a personal Account, these Business Account Terms do not apply to that personal use.

1.3 Capitalised terms have the meaning in the Terms of Service unless defined here.


2. Authority

2.1 You confirm that you have authority to bind the organisation named on the Business Account ("Organisation").

2.2 The Organisation is responsible for all use of the Business Account, including by Authorised Users.


3. Authorised Users and permissions

3.1 The Account owner may invite Authorised Users and assign roles and permissions.

3.2 You must ensure Authorised Users comply with the Terms, these Business Account Terms, and applicable policies.

3.3 You must promptly revoke access when an Authorised User should no longer have access (for example, on departure).

3.4 Xila may treat instructions from administrators as authorised by the Organisation.


4. Business use warranties

You and the Organisation warrant that you will:

(a) comply with applicable law in your business use of the Platform;

(b) provide accurate business identity and contact information;

(c) not misrepresent your affiliation, qualifications or authorisations;

(d) ensure you have lawful bases and notices for any personal data you upload about third parties (including employees, customers or Candidates), where you determine the purposes of processing;

(e) not use the Platform to send unlawful spam or marketing.


5. Data roles

5.1 For Platform administration, security, billing and compliance, Xila typically acts as an independent controller as described in the Privacy Policy.

5.2 Where Xila processes personal data solely on the Organisation's documented instructions in a workspace or similar (for example, CRM-style customer records the Organisation controls), Xila may act as a processor. In that case, a Data Processing Agreement will apply when offered or required.

5.3 You must not upload special category data or criminal offence data unless necessary, lawful and permitted by the feature design and our policies.


6. Fees and taxes

6.1 Business subscriptions and fees are governed by the Subscription and Payment Terms and any order form.

6.2 The Organisation is responsible for taxes arising from its Platform use and its User-to-User transactions, except where Xila must collect tax by law.


7. Liability and indemnity

7.1 Business User liability provisions in the Terms of Service apply.

7.2 The Organisation will indemnify Xila against claims arising from Authorised User acts, Organisation Content, Listings, recruitment or marketplace activities, and breach of these Business Account Terms, except to the extent caused by Xila's negligence or wilful misconduct.


8. Suspension

We may suspend a Business Account or Authorised User access for breach, legal risk, non-payment, or security concerns, with notice where appropriate.


9. Governing law

These Business Account Terms follow the governing law and jurisdiction clauses in the Terms of Service applicable to Business Users.
