Version 0.1.0 — Draft for UK legal review
Effective date: [Effective Date]
These Events Terms ("Events Terms") supplement the Terms of Service (B01) and apply when you create, promote, discover, register for, purchase tickets for, or otherwise participate in events through Events Features on Xila.
Contact: support@xila.com · Website: https://www.xila.com
1. Scope
1.1 Events Features include event Listings, calendars, invitations, RSVPs, ticketing or registration, attendee management, event pages, communications related to events, and payment facilitation for event tickets or fees, as made available on the Platform from time to time.
1.2 These Events Terms apply to Organisers (including hosts, promoters and venues listing events) and Attendees (including registrants and ticket purchasers).
1.3 Events may be online, in-person or hybrid. Communications during events may be governed by the Communications and Video Call Terms (B09). AI tools used for event copy or planning are governed by the AI Services Terms (B08).
1.4 Capitalised terms have the meanings given in the Terms of Service unless defined here.
1.5 If these Events Terms conflict with the Terms of Service on event-specific matters, these Events Terms prevail for that subject matter only, to the extent lawful.
2. Xila's role
2.1 Unless we expressly identify Xila as the organiser of a specific event, Xila is a technology intermediary. We provide tools for Users to publish and manage events and for Attendees to discover and register.
2.2 Contracts for attendance, tickets or services are between Organisers and Attendees, not with Xila, except where Xila clearly offers its own paid event or ticket as organiser.
2.3 Xila does not guarantee that events will take place, that venues are safe or authorised, that Attendees will behave appropriately, or that Organisers will honour refunds or changes.
2.4 We do not routinely audit every event Listing. Users must exercise judgment before attending or promoting events.
3. Eligibility
3.1 You must be at least 18 years old to create an Account and use Events Features, consistent with the Terms of Service.
3.2 Events intended for younger participants must comply with law and the Children's and Age-Appropriate Use Policy (C11). Organisers are responsible for age restrictions, parental consent and safeguarding where required.
3.3 Business Users organising commercial events must comply with the Business Account Terms (B02).
4. Organiser obligations
4.1 Organisers are responsible for the event they publish, including:
(a) accuracy of title, date, time, location, format, pricing and description;
(b) lawful authority to use venues, brands, performers and content;
(c) health and safety, capacity limits, licensing and insurance;
(d) accessibility information and reasonable adjustments where applicable;
(e) attendee communications and changes;
(f) refunds, cancellations and consumer rights.
4.2 You must not misrepresent affiliation with Xila or imply that Xila endorses or guarantees your event.
4.3 If you sell tickets or charge fees, you must comply with applicable consumer law, including pre-contract information and fair commercial practices.
4.4 Organisers supplying paid events to Consumers must provide mandatory information required by the Consumer Contracts Regulations 2013 and honour applicable statutory rights.
5. Attendee obligations
5.1 Attendees are responsible for reviewing event details, eligibility requirements, location safety, travel, and any terms set by the Organiser before registering or purchasing.
5.2 You must provide accurate registration information and comply with event rules, venue policies and lawful conduct standards.
5.3 Tickets and registrations are personal unless the Organiser expressly permits transfer, and subject to the Organiser's stated terms.
5.4 You must not use Events Features to gain unauthorised access, resell tickets in breach of law or Organiser terms, or commit fraud.
6. Listings, ticketing and payments
6.1 Organisers set event details, ticket types, prices, capacity and refund policies, subject to law and Platform rules.
6.2 Platform Fees charged by Xila (including ticketing fees, commissions or promotions) will be shown at the point of purchase or before you confirm a chargeable action, where practicable.
6.3 Ticket and registration payments may be processed by regulated third-party Payment Providers under the Subscription and Payment Terms (B03). Xila does not operate a wallet or escrow service.
6.4 Payouts to Organisers may require Payment Provider onboarding and verification, as described in the Marketplace Terms (B04) and Seller and Service Provider Terms (B05) where applicable.
6.5 Xila may delay, reverse or withhold payouts where permitted by Payment Provider rules, fraud controls, these Terms or law.
7. Cancellations, postponements and refunds
7.1 Between Organiser and Attendee. Cancellation, postponement, refund and credit policies are primarily determined by the Organiser's stated terms and applicable law, not by Xila.
7.2 Organisers must communicate material changes promptly through the Platform and other reasonable channels.
7.3 If an event is cancelled or substantially changed, Organisers must comply with their refund policy and mandatory Consumer rights.
7.4 Platform Fees charged by Xila are refunded only as stated at purchase or required by law.
7.5 Chargebacks and payment disputes are handled under Payment Provider rules. Abuse may result in Account suspension.
8. Online and hybrid events
8.1 Online events may use Communications Features subject to the Communications and Video Call Terms (B09).
8.2 Organisers are responsible for access links, technical requirements, moderation of online spaces, and rules for participant behaviour.

10.2 Attendees are responsible for their personal safety and belongings.
10.3 Events involving vulnerable groups, alcohol, physical activity or hazardous activities require additional safeguards and disclosures by Organisers.
10.4 Xila is not responsible for injuries, losses or incidents at third-party venues, except to the extent liability cannot be excluded by law.
11. Intellectual property and publicity
11.1 Organisers warrant they have rights to use event names, images, performer content and promotional materials in Listings.
11.2 Attendees must not use Organiser trademarks or event recordings beyond personal lawful use or as permitted by the Organiser.
11.3 Copyright complaints are handled under the Copyright and Intellectual Property Policy (C07).
12. Data protection and marketing
12.1 Organisers may receive Attendee personal data through registrations. They must use it lawfully for event administration and permitted follow-up, in compliance with UK GDPR and the Privacy Policy (C01).
12.2 Marketing to Attendees after an event requires appropriate consent or lawful grounds under PECR and the Marketing Communications Policy (C10).
